1. About these terms

These terms govern your access to and use of nodu.fi and its sub-pages (the “Website”). The Website is operated by Nodu Group Limited, a private limited company registered in England and Wales under company number 16646447, with its registered office at 20 Wenlock Road, London, N1 7GU, United Kingdom (“we”, “us” or “our”), on behalf of the Nodu group.

“Nodu” is a brand used by the Nodu group companies, which include Nodu Group Limited, Nodu Digital SIA and Nodu Canada, Inc. (the “Nodu group companies”).

By using the Website, you accept these terms. If you do not accept them, please do not use the Website.

2. Information only

The Website provides general information about the Nodu group and the types of services its companies provide. Nothing on the Website:

  • is an offer, solicitation or invitation to enter into any agreement or to use any service;

  • is legal, tax, financial, investment or other professional advice, or a recommendation; or

  • forms part of any agreement with a Nodu group company.

Service descriptions and examples on the Website are simplified and illustrative, and may change without notice. The terms of any service are set out only in the written agreement between the client and the Nodu group company that provides it.

3. Availability of services

Services are provided only by the Nodu group company that holds the authorisation or registration required for the relevant service and client, under a written agreement with that company, and after that company has completed its onboarding and customer due diligence procedures.

Whether a service is available depends on factors including the client’s jurisdiction and business, the service requested and applicable law. Each Nodu group company may decline any enquiry or application at its discretion.

The fact that the Website can be accessed from a particular country does not mean that any service is available there. The Website is not directed at any person in a jurisdiction where its publication or use would be unlawful.

4. Nodu group companies and their regulatory status

Nodu Group Limited operates the Website and does not itself provide the services described on it.

Nodu Digital SIA is authorised and regulated by Latvijas Banka (the Bank of Latvia) as a payment institution and as a crypto-asset service provider under Regulation (EU) 2023/1114 on markets in crypto-assets (MiCA). Information on the Website about services in the European Economic Area (EEA) relates to Nodu Digital SIA and is limited to the scope of its authorisations.

Nodu Canada, Inc. is a corporation incorporated in the Province of Ontario, Canada, with corporation number 1001337843. It is registered with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) as a money services business, registration number C100001091. Nodu Canada, Inc. is not authorised in the EEA and does not market or solicit its services to persons established or located in the EEA.

The authorisation or registration of one Nodu group company does not extend to any other Nodu group company or to any other jurisdiction. The current status of each company can be checked in the public registers kept by Latvijas Banka, the European Securities and Markets Authority and FINTRAC.

5. Enquiries

You may contact us through the enquiry form or by email. Submitting an enquiry does not create a client relationship and does not oblige any Nodu group company to provide a service. We may share your enquiry with another Nodu group company as described in our Website and Enquiries Privacy Notice.

Please do not send identity documents, account details or other confidential information with an enquiry.

6. Intellectual property

The Website and its content, including text, graphics, logos, trade marks and design, belong to or are licensed to the Nodu group companies. You may view the Website and print or download extracts for your own internal information. You may not copy, modify, distribute, publish or otherwise use the content, or use the Nodu name or logos, for any other purpose without our prior written consent.

7. Acceptable use

You must not use the Website:

  • in breach of any applicable law or regulation;

  • to transmit malicious code or to attempt to gain unauthorised access to the Website or the systems behind it;

  • in a way that interferes with its operation or security; or

  • to extract content systematically by automated means, except by search engines for indexing.

8. Accuracy and availability

We take reasonable care to keep the Website accurate and up to date, but we do not warrant that its content is complete, accurate or current. The Website is provided “as is” and “as available”. We may change, suspend or withdraw any part of it at any time.

The Website may contain links to third-party websites. We have no control over their content or privacy practices and are not responsible for them.

10. Liability

To the extent permitted by applicable law, no Nodu group company is liable for any loss or damage arising from the use of, or reliance on, the Website or its content, including indirect or consequential loss, loss of profit and loss of data.

Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence. Nothing in these terms affects any rights you have as a consumer under mandatory law.

12. Changes to these terms

We may update these terms from time to time. The version published on the Website applies from the date shown at the top.

13. Governing law and jurisdiction

These terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, without prejudice to any mandatory rule that entitles you to bring proceedings in another country.

14. Language

If these terms are made available in another language, the English version prevails in case of any inconsistency.
